Terms of Service

1. Acceptance of Terms

By accessing or using VINIE ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including dealership administrators, managers, and salespeople.

2. Description of Service

VINIE provides a mobile and web-based platform that helps car dealership sales teams access instant vehicle intelligence by scanning or entering VIN numbers. Features include vehicle data lookup, sales talking points, competitor comparisons, objection handling guidance, team management, and subscription billing.

3. Accounts and Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use at support@vinie.app.
  • One account per person. Sharing accounts between multiple users is not permitted.

4. Subscriptions and Billing

  • VINIE is offered on a subscription basis billed monthly or annually.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • All payments are processed by Stripe. By subscribing, you agree to Stripe's terms.
  • No refunds are provided for partial billing periods, except where required by law.
  • We reserve the right to change pricing with 30 days' notice to current subscribers.
  • Failure to pay may result in suspension or termination of access.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, sublicense, or transfer your access to the Service to third parties.
  • Use the Service to scrape, harvest, or collect data at scale.
  • Attempt to gain unauthorized access to other accounts or our infrastructure.
  • Use the Service to harass, defame, or harm others.

6. Vehicle Data and Accuracy

Vehicle data provided through the Service is sourced from public APIs (including NHTSA) and third-party market data sources. VINIE makes no warranty that vehicle data is complete, accurate, or current. Pricing information is for reference only and should not be used as the sole basis for financial decisions. You are responsible for independently verifying any vehicle information before relying on it.

7. Intellectual Property

All content, features, and functionality of the Service — including software, text, graphics, logos, and design — are owned by VINIE and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your dealership's internal business purposes.

8. Termination

We may suspend or terminate your account at any time if you violate these Terms, fail to pay, or if we discontinue the Service. You may cancel your subscription at any time through the Dealer Portal or by contacting support. Upon termination, your access to the Service will cease and your data may be deleted after a 30-day grace period.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, VINIE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of or inability to use the Service. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Changes to Terms

We may update these Terms at any time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
